About the Role
We’re looking for a corporate/commercial lawyer to join our team and help us provide business-oriented and practical legal advice in a continually evolving environment. You’ll be part of a dynamic legal team and will provide key support primarily to the commercial side of the business. You’ll be working with numerous business stakeholders, providing legal support on a broad range of commercial matters in an exciting, fast-paced, sales driven environment and having lots of fun along the way!

What You’ll Work On
- Draft, review and negotiate customer agreements, including SaaS agreements, master services agreements, SOWs and data processing agreements
- Provide business-oriented and practical legal advice on a wide range of topics, including commercial contracts, marketing, procurement and data protection
- Counsel business colleagues on contractual and business risks, including indemnification, limitation of liability, privacy and data protection, and offer creative solutions to mitigate such risks
- Advise on privacy requirements for data initiatives and product development and counsel business colleagues on legal and privacy obligations.
- Work collaboratively with other departments, including Sales, Customer Success, Finance, People, Operations, Product and Marketing to deliver on strategic priorities
- Contribute to the maintenance of the company’s general terms and policies
- Assist in providing training and developing internal knowledge and resources
What You’ll Bring to this Role and Your New Team:
- A J.D. or LL.B degree from an accredited university
- Licensed to practice law in a Canadian jurisdiction
- 2-3 years of post call experience in a B2B SaaS company or a major law firm with a focus on saas/B2B clients
- Experience drafting and negotiating complex commercial agreements, including SaaS agreements
- Knowledge of privacy and data protection laws, including GDPR and intellectual property and technology law
- Ability to successfully manage multiple negotiations, effectively prioritising issue escalation and resolution.
- Excellent organisational, problem-solving, analytical, interpersonal, written and verbal communication skills with the ability to articulate and defend Vidyard’s positions in an effective manner, prepare clear and efficient redlines, and bring agreements to closure
- Ability to work independently and take direction well
